These terms govern your use of SoloScan, the desktop application provided by Impavia AB 559485-1833, a private limited company registered in Sweden (referred to as "we", "us", or "Impavia"). By installing or using SoloScan, you ("you" or "the user") agree to these terms.
1. What SoloScan is
SoloScan is a desktop application that helps you analyze documents using artificial intelligence models running on your own computer. It runs on macOS and Windows. The AI inference happens locally via Ollama, an open-source third-party tool that you install separately.
SoloScan is free to download and use, with a free plan that analyzes the first 1,000 characters of any document. A paid subscription removes that limit and unlocks the Vision model for full-document and image-based analysis.
2. License
We grant you a non-exclusive, non-transferable, revocable license to install and use SoloScan on up to two (2) personal computers that you own or control, for as long as your subscription is active and these terms are observed.
You may not:
- Resell, sublicense, rent, or lease SoloScan
- Reverse-engineer, decompile, or extract the source code, except where Swedish law expressly permits
- Remove or alter any copyright, trademark, or other proprietary notices
- Use SoloScan to violate any applicable law
- Share your license key with people outside your household or organization
3. Your content and responsibility
You retain full ownership of every document you analyze with SoloScan. We do not see, store, or have access to your documents or the AI conversations about them - they live only on your computer. See our Privacy Policy for details.
You are responsible for:
- The documents you choose to analyze and any consequences of doing so
- Complying with confidentiality agreements, professional rules, and applicable law regarding the data you handle
- Verifying the accuracy of AI outputs before relying on them for decisions
- Keeping your computer and license key reasonably secure
4. AI output is not advice
SoloScan uses large language models that can make mistakes, hallucinate facts, miss details, and misread documents. AI output from SoloScan is provided for your informational use and is not:
- Legal advice
- Financial or tax advice
- Medical or psychological advice
- A substitute for the judgment of a qualified professional
You must independently verify any output before relying on it. We are not liable for decisions made based on AI output.
5. Subscriptions, payment, and renewal
Subscriptions are billed monthly or annually in advance, in US dollars. Payment is processed by Stripe, Inc.
Your subscription automatically renews at the end of each billing period at the then-current price. We will email you in advance of any price change. You can cancel at any time from your account management page; cancellation takes effect at the end of the current paid period, and you retain access until then.
If a payment fails, we will retry once and email you. If payment cannot be collected, your license enters a grace period and is then suspended.
6. Refunds
Refund terms are set out in our Refund Policy. In summary: you can request a full refund within 14 days of your first paid period, in accordance with EU consumer law.
7. Updates and changes
We may release updates that change, add, or remove features. We try to give reasonable notice for material changes that affect your use of SoloScan. We are not obligated to maintain any specific feature indefinitely.
We may revise these terms by posting the updated version on this page. If changes are material, we will notify active subscribers by email at least 30 days in advance.
8. Termination
You can stop using SoloScan and cancel your subscription at any time. We can terminate your license if you materially violate these terms; we will normally give you notice and an opportunity to correct the issue first, unless the violation is severe.
Upon termination, your access to new analyses stops at the end of the current paid period. Your locally-stored scans and data remain on your computer; you can keep, export, or delete them yourself.
9. Warranty and disclaimers
SoloScan is provided "as is" and "as available", without warranties of any kind, express or implied, except those that cannot be excluded under Swedish or EU consumer law. We do not warrant that SoloScan will be error-free, uninterrupted, or that AI outputs will be accurate, complete, or fit for any particular purpose.
10. Limitation of liability
To the maximum extent permitted by law, Impavia AB's total aggregate liability for any claim arising from or related to SoloScan or these terms is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or reputational harm, even if we were advised of the possibility of such damages.
Nothing in these terms excludes liability that cannot be excluded under applicable law, including liability for gross negligence, willful misconduct, or statutory consumer protection rights.
11. Force Majeure
We are not responsible or liable for any failure or delay in performing our obligations under these terms if such failure arises from events beyond our reasonable control. This includes, but is not limited to, widespread internet outages, cloud infrastructure failures (such as Vercel, Stripe, or Keygen downtime), cyberattacks, government actions, natural disasters, or other events of force majeure.
12. Governing law and disputes
These terms are governed by Swedish law, without regard to its conflict-of-laws principles. Disputes will be resolved in the Swedish courts.
If you are a consumer resident in another EU country, you may also bring proceedings in your country of residence under the Brussels I-bis Regulation, and you benefit from any mandatory consumer protection laws of your home country.
